Brachers advises amplify5 on minority investment from Literacy Capital

The corporate team at Kent law firm Brachers has advised amplify5 on a significant investment by listed investment trust Literacy Capital plc.

Founded by Alastair Brass in 2021, amplify5 provides a range of bespoke offshoring solutions to corporates and SMEs across a variety of sectors.

amplify5 has started to transform the Business Process Outsourcing (BPO) sector with its innovative ‘built by clients for clients’ model focused on the following five key pillars: Flexibility, Speed, Full access, World class offices and All-inclusive pricing, delivering to clients across the UK, Europe and the US.

Given his deep operational experience of outsourcing to South Africa and across the world, Alastair identified an opportunity to build a new business that would abolish the pain points he had personally experienced when offshoring thousands of roles for well-known UK customer-facing brands.

Literacy Capital plc is an investment company focused on investing in and supporting UK businesses and helping their management teams achieve long-term success. It is publicly traded on the London Stock Exchange under the ticker symbol BOOK.

The investment from Literacy Capital will provide additional capital to support amplify5’s ambitious growth plans to build an organisation of more than 5,000 colleagues, with a continued focus on building a customer-first, people-centric business that over delivers versus expectations.

Alastair will continue in his current role as founder and CEO, ensuring that amplify5 accelerates its innovative approach of “offshoring as a service”. The transaction is Literacy Capital’s 25th platform investment since the inception of the fund in 2017.

As part of its investments, Literacy Capital subscribed for a significant minority stake in amplify5. It also provided access to growth capital to accelerate further growth under the continued leadership of Alastair.

The Brachers team was led by Matthew Simmonds (corporate partner) and also included Alistair Wickham (corporate associate) and Joseph Burrows (corporate solicitor). Burgess Hodgson LLP provided accountancy and tax support to amplify5.

Alastair said: “In Literacy Capital, we’ve found an investment partner who is a great cultural fit that will provide the backing for growth that amplify5 needs for the next stage of our journey as a company.

“I am extremely grateful to Matt Simmonds and the team at Brachers who pulled out all the stops to get our investment completed in a short time frame. It was a hugely impressive effort by the whole team.

Brachers’ Matthew Simmonds added: “I am thrilled to have worked with Alastair and his team at amplify5 on their investment from Literacy Capital.

“The new investment will enable amplify5 to accelerate its impressive growth plans to grow to 5,000 employees. We are so pleased to have been able to play a small part in their success story.

“I am grateful to the teams at Burgess Hodgson LLP, Hogan Lovells and all of the other advisors who worked on the investment.

“It was a huge achievement to get this all completed in good time. I am especially grateful to our Alistair Wickham and Joesph Burrows who worked tirelessly on the investment.”
